Training Product License Agreement

4.10.Licensees may not sell, resell, sub-concede, sub-concede, sue, license, redistribute, distribute, transfer or transfer all or part of these licences to third parties. 13.1 This agreement and all training-related orders or invoices represent the full training agreement between the licensee and SAS and regulate all training orders, notifications and insurance. Some on-site or public air training courses may contain a free electronic copy of a book on the theme of the SAS (eBook) training course. Notwithstanding the contrary provisions, the use of the e-book is subject to the additional conditions set out in this paragraph. The licensee can only download one (1) copy of the eBook. The licensee must not print the eBook or distribute it to third parties in a modified or unchanged form. We are pleased that you have chosen to purchase a license for the use of IACET Online – On Demand modules. As a prerequisite for access and/or use of online modules, please note that the International Association for Education and Continuing Education („IACET“) requires all users/licensed to agree to the following terms and conditions. Licensing can be done by one company, but if this is not possible, an alternative is to consider a multi-step approach to your license with several component parts made by different manufacturers, final assembly by another and possibly distribution by another. This can divide the risk if the size of the project is deemed too large by a licensee.

Licensing a product or service can be a great way to generate good cash flow if the document is established correctly with a clear understanding of the parties` objectives and obligations. For most years, a license is limited to the extent that the licensee is free to develop certain markets or cooperate with more than one taker. It is important not only to keep good legal advice in mind, but also to get good tax advice and knowledge of the place before the relationship is used. If possible, it may be possible for an inventor or developer of a product or service to minimize their participation in marketing and provision, while earning a good income. Your presentation should be sent to the same sources as those previously listed in this prospectus (see previous Search Sources) and you would request that the names and addresses of likely licensees be made available to you. Normally, the subject of a license is that the licensee is passive and receives only royalties, while the taker participates in the business or development and must be used freely as long as royalties are paid and other criteria are met. Failure to comply with the license agreement by the licensee generally results in the termination of the licence and the payment of damages to the licensee. Licensing includes obtaining permission from a company (conedant) for the manufacture and sale of one or more of its products in a defined area.

The company that obtains these rights (the licensee) generally agrees to pay a fee to the original owner. During the licence term, SAS will make reasonable efforts, either by phone or in writing, to help the licensee resolve certain issues related to the installation or use of the online or video learning library.
